These Terms and Conditions ("Terms") govern your access to and use of the services provided by NZGPTS | New Zealand Growth & Performance Technology Solutions ("NZGPTS", "we", "us", or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

1.1 Service Description

NZGPTS provides AI-powered business intelligence and strategic analysis services, including:

  • Free Brand Reports: Complimentary analysis of hospitality venues' online presence
  • Automated Intelligence Products: AI-generated reports and strategic blueprints ($197-$999)
  • Premium Consulting Services: Custom strategy development and implementation plans ($1,299-$1,999)

1.2 Service Limitations

NZGPTS services are:

  • Provided for informational and strategic planning purposes only
  • Not a substitute for professional legal, financial, tax, or other specialized advice
  • Subject to availability of third-party services (AI providers, data sources)
  • Dependent on the quality and completeness of information provided by you

2. Free Brand Report Terms

2.1 Eligibility and Limitations

  • Rate Limit: One (1) free report per unique business venue per 30-day period
  • Scope: Analysis based solely on publicly available online information
  • Delivery: Delivered via email to the address provided within approximately 2 minutes
  • No Warranty: Provided "as is" without any express or implied warranties

2.2 Restrictions

Users may not:

  • Submit false or fraudulent information
  • Circumvent rate limits through multiple submissions
  • Submit competitors' information without authorization
  • Use automated tools to generate excessive requests

3. Paid Products and Services

3.1 Purchase and Payment

  • Payment Processing: All payments are processed securely through Stripe
  • Pricing: All prices are in New Zealand Dollars (NZD) and include GST
  • Payment Due: Full payment is required before commencement of work
  • Non-Transferable: Purchases are non-transferable and apply to the specified business only

3.2 Delivery Timelines

  • Automated Products: Delivered within 24-72 hours of purchase (specific timeline stated on product page)
  • Premium Consulting: Delivery within 3-6 weeks, subject to scope agreement
  • Delays: We will notify you of any delivery delays caused by technical issues or circumstances beyond our control

3.3 Deliverables

All products are delivered via email in PDF format unless otherwise specified. Deliverables include:

  • The primary report or strategic document
  • One (1) round of minor clarifications or corrections (if requested within 7 days of delivery)
  • Supporting documents as specified in the product description

4. Refund Policy

4.1 Refund Eligibility - Non-Delivery Only

Refunds are ONLY provided in the event of non-delivery of promised deliverables.

You are eligible for a full refund if:

  • ✅ We fail to deliver the purchased product within the stated timeline and reasonable extension period
  • ✅ We fail to deliver all items specifically promised in the product description
  • ✅ The delivered report is fundamentally incomplete (missing major sections)

4.2 No Refund for Dissatisfaction

Refunds are NOT provided based on dissatisfaction with content, quality, recommendations, or subjective assessment of value.

No refund will be issued for:

  • ❌ Disagreement with recommendations or strategic advice
  • ❌ Different interpretation of data or analysis
  • ❌ Expectations not clearly stated in product description
  • ❌ Failure to achieve business results after implementing recommendations
  • ❌ Change of mind after delivery

4.3 Exclusions and Limitations

Refunds are not available in the following circumstances:

  • ❌ Technical issues or downtime of third-party services (OpenAI, Anthropic, Google AI, Stats NZ API, etc.)
  • ❌ Insufficient or inaccurate information provided by the customer
  • ❌ Limited publicly available information about the customer's business
  • ❌ Delivery delays caused by incorrect email addresses or spam filters
  • ❌ More than 14 days have passed since delivery
  • ❌ Customer has implemented recommendations from the report

4.4 Refund Request Process

To request a refund based on non-delivery:

  1. Email refunds@nzgpts.xyz within 14 days of purchase
  2. Include your order number and specific reason for refund claim
  3. Provide evidence of non-delivery (if applicable)
  4. Allow 2-3 business days for review of your claim

Approved refunds will be processed within 5-7 business days to the original payment method.

5. Intellectual Property Rights

5.1 Customer Rights

Upon full payment and delivery, you receive:

  • ✅ Full ownership of the delivered reports and documents
  • ✅ Unlimited right to use, implement, and adapt recommendations
  • ✅ Right to share internally within your organization

5.2 NZGPTS Rights

NZGPTS retains all rights to:

  • The NZGPTS AI system, methodology, and proprietary patterns
  • Template frameworks and analytical processes
  • The NZGPTS brand, trademarks, and service marks
  • Anonymized insights derived from aggregated customer data

5.3 Restrictions

You may not:

  • ❌ Resell, redistribute, or commercialize NZGPTS reports as your own service
  • ❌ Remove or obscure NZGPTS attribution from reports
  • ❌ Reverse engineer or replicate the NZGPTS methodology
  • ❌ Use NZGPTS reports to create competing AI services

6. Data and Privacy

Your use of NZGPTS services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

Key points:

  • We only analyze publicly available information
  • Personal contact information is not shared with AI providers
  • All data transmission is encrypted via HTTPS
  • We comply with the New Zealand Privacy Act 2020

7. Acceptable Use Policy

7.1 Prohibited Activities

When using NZGPTS services, you agree NOT to:

  • Provide false, misleading, or fraudulent information
  • Impersonate another person or business
  • Submit competitors' information without proper authorization
  • Abuse or circumvent rate limits or security measures
  • Attempt to hack, disrupt, or damage the NZGPTS platform
  • Use services for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations

7.2 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

  • Immediate suspension or termination of service access
  • Forfeiture of any paid services without refund
  • Legal action if warranted

8. Disclaimers and Limitations of Liability

8.1 AI-Generated Content

All NZGPTS reports are generated using artificial intelligence technology. While we implement quality controls and human oversight, AI can make errors, misinterpret data, or produce unexpected results. You are responsible for verifying critical information before implementation.

8.2 No Guarantee of Results

NZGPTS provides strategic intelligence and recommendations based on analysis of available data. We do not guarantee, warrant, or promise any specific business outcomes, revenue increases, or other results from implementing our recommendations.

8.3 Not Professional Advice

NZGPTS services do not constitute legal, financial, tax, accounting, medical, or other professional advice. You should consult qualified professionals for specialized advice in these areas.

8.4 Third-Party Dependence

Our services rely on third-party AI providers, data sources, and infrastructure. We are not liable for service disruptions, data inaccuracies, or other issues caused by third-party service failures.

8.5 Limitation of Liability

To the maximum extent permitted by New Zealand law, NZGPTS's total liability to you for any claim arising from or related to our services is limited to:

  • For paid services: The amount you actually paid for that specific product or service
  • For free services: Zero dollars ($0.00 NZD)

8.6 Exclusion of Consequential Damages

NZGPTS is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, even if we were advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless NZGPTS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of NZGPTS services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any information or content you provide to us

10. Termination

10.1 Termination by NZGPTS

We may suspend or terminate your access to our services immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent or abusive behavior
  • Required by law or legal process
  • We discontinue the service (with reasonable notice)

10.2 Termination by You

You may stop using our services at any time. Termination does not entitle you to refunds for services already delivered or for the unexpired portion of any service period.

10.3 Effect of Termination

Upon termination:

  • Your right to access and use NZGPTS services ends immediately
  • You retain ownership of reports and deliverables already provided
  • Sections of these Terms that should survive (IP rights, disclaimers, liability limits) remain in effect

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at legal@nzgpts.xyz to attempt to resolve the dispute informally within 30 days.

11.2 Governing Law

These Terms are governed by the laws of New Zealand. Any legal disputes will be resolved exclusively in the courts of New Zealand.

11.3 International Customers

By using NZGPTS services from outside New Zealand, you consent to New Zealand jurisdiction and agree that New Zealand law governs these Terms.

12. General Provisions

12.1 Changes to Terms

NZGPTS reserves the right to modify these Terms at any time. Material changes will be notified to active customers via email at least 14 days before taking effect. Continued use of our services after changes constitutes acceptance of the revised Terms.

12.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NZGPTS regarding use of our services and supersede all prior agreements.

12.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.4 Waiver

NZGPTS's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. NZGPTS may assign these Terms without restriction.

12.6 Force Majeure

NZGPTS is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or failures of third-party services or infrastructure.
