Terms of Service

Effective: 2025-09-01 • Scope: NZGPTS advisory, audits, workflows, training, and automation deliverables.

1) Services

• Strategy & audits, pattern-based workflows, deliverables (reports, playbooks, prompts).
• Platform guidance across multiple AI vendors (multi-engine approach).
• Optional hands-on implementation subject to a separate SOW.

2) Client Responsibilities

• Provide accurate, lawful data with authority to share.
• Nominate a data owner and a privacy contact.
• Review and approve deliverables within agreed timeframes.

3) Consumer Guarantees Act (CGA)

Our services are provided with reasonable care and skill and are fit for the agreed purposes. Where the CGA applies, your statutory rights remain. If you are acquiring our services for business purposes, the parties agree the CGA does not apply to the extent permitted by law.

4) Model & Data Limitations

• AI outputs may contain errors or omissions and require human review.
• We do not represent third-party AI platforms; availability and behaviour can change.
• All strategic outputs are recommendations; implementation risk remains with the client unless we are engaged for execution under a separate SOW.

5) Privacy & Data Protection

We act as a processor for client data and follow the Privacy Act IPP alignment. Cross-border processing may occur with client approval. A Data Processing Addendum is available.

6) Liability

To the maximum extent permitted by law, our aggregate liability is limited to the fees paid in the 90 days preceding the claim. We exclude indirect or consequential loss.

7) IP & Licensing

• Client pre-existing materials remain the client's IP.
• NZGPTS frameworks/patterns remain our IP; clients receive a non-exclusive license to use deliverables for internal business purposes.

8) Changes

We may update these terms; the "Effective" date will change. Material changes will be notified to current clients.
